CodexScribo is operated by Fernando Silveira. The first section covers using this website. The rest describes the standard terms the development work is done under — they are published so you know what you are booking a call about, but the binding version of any engagement is the written quote and scope you and I agree to before work starts. Where the two differ, the quote wins.
1. Using this site
This site describes a service and provides a way to get in touch. Nothing on it is a binding offer, and prices shown here are the current standard rates rather than a quote for your project. The content, brand and logo are mine and may not be reproduced or used commercially without written permission.
2. Scope of work
Each project is defined by a written scope agreed before kickoff: the page list, the package it falls under, the price, and the delivery date. Work outside that scope — extra pages, functionality that was not in the list, a redirection of the design after it was approved — is quoted separately and does not silently absorb into the agreed price or date.
Turnaround is measured in business days from kickoff, not from the call or from the invoice. Kickoff happens when the content and brand assets described on the home page are in my hands; until they are, the start date moves rather than the delivery date being missed.
3. Content you supply
You supply the copy, images, logo and brand assets for each project. By sending them you confirm you have the right to use them and to have them published — licensed stock, owned photography, or client-provided material you are authorized to pass on. I do not clear rights on material I am handed, and I am not liable for infringement in content you supply.
4. Revisions
Two rounds of revisions are included in every package. A round is one consolidated set of feedback: collect it, send it once, and I turn it around. Rounds beyond the second are quoted as a flat fee and agreed before that round begins, so the number is never a surprise on an invoice.
5. White-label delivery
Work is delivered under your brand. I do not contact your client, my name does not appear in the delivered site or its source, and nothing I build for you is shown in a portfolio, case study or post without your written permission. If you want me on a client call, I join as part of your team.
6. Payment and ownership
Payment terms — the deposit, the schedule and the method — are set out in the written quote for each project.
On receipt of final payment, all rights in the delivered site transfer to you: source code, markup, styles and the build. It is yours to host anywhere, modify, hand to another developer, or resell to your client. There is no ongoing license fee and nothing stops working if we stop working together. Until final payment is received, the work remains mine.
Third-party components used in a site — open-source libraries, licensed fonts, stock images — keep their own licenses, which pass through to you as they are. I retain the right to reuse general techniques, tooling and non-client-specific code in other work.
7. Hosting and maintenance
Hosting is optional and billed at $35 per month per site, monthly and in advance, to the agency rather than to your client. It covers keeping the site online, TLS certificate renewal, uptime monitoring, backups, and small content edits of roughly twenty minutes or less. New pages, redesigns and new functionality are project work, not maintenance.
Either of us can end hosting with thirty days’ written notice. If it ends, I hand over the site and the data needed to move it, and I do not hold a site hostage over a disagreement about anything else. I do not guarantee a specific uptime percentage; I monitor the site and fix what breaks.
8. Confidentiality
Anything you share about your agency or your clients is confidential and is not disclosed to anyone else. I will sign your NDA if you have one.
9. Liability
I do my work carefully and fix what I get wrong. What I cannot take on is unlimited downstream risk: except where the law does not allow it to be limited, my total liability for any project is capped at the amount paid for that project, and I am not liable for lost profits, lost business, or other indirect or consequential loss. Nothing here limits liability for fraud.
10. Changes and contact
These terms may change; the date at the top changes with them, and a project already under way is governed by the terms in force when its scope was agreed. Questions: hello@codexscribo.com.
